AGREEMENT & DISCLAIMER
Ireti Counseling & Wellness
This Private Practice Consulting Agreement (“Agreement”) is entered into by and between Ireti Counseling & Wellness (“Consultant”) and the individual scheduling consulting services (“Client”).
By scheduling, paying for, or participating in consulting services, Client acknowledges, understands, and agrees to the following terms:
1. Nature and Scope of Services
Consultant provides business consulting and educational guidance related to the establishment, development, and operation of a private practice. Services are strictly consultative and informational in nature.
Consulting services do not constitute and are not a substitute for:

Psychotherapy, counseling, or mental health treatment

Clinical supervision or licensure supervision

Legal advice

Financial, tax, accounting, or medical advice
No therapist–client, counselor–client, or supervisory relationship is created by participation in consulting services.
2. No Professional Advice or Reliance
Client understands and agrees that Consultant is not acting as Client’s attorney, accountant, financial advisor, or licensing authority. Any information provided is general in nature and should not be relied upon as a replacement for advice from appropriately licensed professionals.
Client agrees to independently verify all information with relevant regulatory boards, licensing agencies, and professionals, including but not limited to the Texas Behavioral Health Executive Council (BHEC) or other applicable state boards.
3. No Guarantees or Warranties
Consultant makes no representations, warranties, or guarantees, express or implied, regarding outcomes, timelines, business success, income generation, licensure approval, or regulatory compliance.
Client acknowledges that results vary based on individual circumstances, effort, market conditions, and external factors beyond Consultant’s control.
4. Client Responsibility and Assumption of Risk
Client assumes full responsibility for all decisions, actions, and outcomes resulting from consulting services.
Client expressly agrees that Consultant shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to the consulting services, including but not limited to loss of income, business interruption, regulatory action, or licensure issues.
5. Confidentiality and Privilege
Consultant will maintain reasonable confidentiality of information shared during sessions; however, Client acknowledges that consulting services are not protected by therapist–client privilege, HIPAA, or other mental health confidentiality statutes.
6. Payment, Cancellation, and Refund Policy
Payment is required in full prior to scheduling any consulting session. All fees are non-refundable.
Client must provide at least 24 hours’ notice to cancel or reschedule a session. Failure to do so will result in forfeiture of the session fee.
7. Limitation of Liability
To the fullest extent permitted by Texas law, Consultant’s total liability for any claim arising out of or related to consulting services shall be limited to the amount paid by Client for the specific session giving rise to the claim.
8. Indemnification
Client agrees to indemnify, defend, and hold harmless Consultant from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from Client’s use of consulting services or violation of this Agreement.
9. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Venue for any dispute shall lie exclusively in the state or federal courts located within Texas.
10. Acknowledgment and Consent
By scheduling and participating in consulting services, Client affirms that they have read, understood, and voluntarily agree to this Agreement and acknowledge that they are entering into it freely and knowingly.
I acknowledge that this service is business consulting only and not therapy, clinical supervision, or legal/financial advice. I agree to the Consulting Agreement and assume full responsibility for my decisions.
